Course objectives
At the end of the course
- students will be able to understand the development process of Serbian company law
- students will be able to identify issues and the weaknesses in the Serbian company law regulation
- students will be able to get to know the differences between the legal regulation in this area of law of EU members and third countries
Syllabus
  • I CLASS
  • Privatization process in former Yugoslavia - starting point for developing of company law in Serbia. Weaknesses and poor results-possible cause of slow progress in creating modern company law in Serbia
  • II CLASS
  • The latest regulations of Company Law in Serbia and achievements:
  • - Classification of business forms in Serbia
  • - A partnership and limited partnerships
  • - A limited liability companies
  • - Entrepreneurship in Serbian law
  • III CLASS
  • - Shareholding company- basic characteristics and types
  • - one- tier board structure and two- tier board structure
  • - issues of shareholding in Serbia
  • IV CLASS
  • Specifics in the economy of Serbia- State-owned companies ( problems of corporatization process and role of the state as founder)
  • V CLASS
  • The development of regulations in area of company law in Serbia (corpus of laws and By-laws).Achieved level of harmonization process of company law regulations (analysis of the benefits and pointing to the necessary changes and amendments in order to provide a greater level of harmonization with EU Directives)
  • VI CLASS
  • Workshop- introduction to the procedure of registration new companies through a new service that offers Serbian Business Registers Agency (information about the documentation required for incorporation of new companies)
