Course objectives
To pass on the student basic knowledge of the institutions of Czech commercial law in addition to the knowledge gained in Právní nauka (Introduction to the Law) and Evropské právo (European Law). To make the students familiar with the legal consequences of the common European market in the area of commercial law obligations. To lead the students to understanding both the common basis and differences concerning the approach and methods of regulation in the public law and private law areas.To lead them to understanding both causes and practical impact of those differences. To explain the interrelations between the national and European basic institutions of commercial law. To inform about the main tendencies of decision making of the European Commission and the European Court of Justice in commercial law affairs. To make the students understood the possibilities of legal regulation and its limitations in terms of policy, economic, sociological, psychological and others issues.
Syllabus
  • Commercial law in the legal system.Commercial law end economic law. The structure and impact of the commercial law. Law and economics. Sources of law. (p) Entrepreneur and businessman. Entrepreneurial conduct. Procuration. Legal representation. (p) General introduction to commercial companies. Legal comparisons.Communitary directives concerning commercial companies. Personal companies and cooperatives in Czech and European law. (p) Capital Companies. Societas Europea. Law of holding companies. (p) Competition law. Introduction and comparison between Czech and European regulations. (p) Agreements distorting competition; mergers; the abuse of dominant position. Comparison of the case law of the EC and ECJ and of the Czech Anitrust Authority. (p) Commmercial name. European trade mark. (p) Intellectual property in commercial law. European patent. Licence agreements. (p) Introduction to the law of unfair competition and consumer protection. Unfair and comparative advertisment. Comparison between Czech and European regulations. (p) Czech contract law. Efforts to harmonize or to unify it in Europe. (p) The law of capital market in a nutshell. Insider trading. (p) Public procurement and the ban of public subsisidies in the EU and in the Czech republic.

Teaching methods
lecture;theoretic education combined with case law
Assessment methods
The course is closed by a written and oral exam. Exam questions are covered by the lectures and the prescribed readings.The sudents will draw 2 questions that will be elaborated in a written way. Assessment of the written part covers 50% of the final mark. Subsequent oral exam will be a more detailed interview on the written answers and relations with other issues will be dealt with. Overall level of structuralized answers and the general overview of the topics are subjet to the assessment.
