Course objectives
After completion of the module the students should be able to: a) analyse the range of commercial law regulation of the entrepreneurs activity in the national environment b) analyse the law regulation of the entrepreneurs activity from the point of EU law. c) choose adequate psychological, organizational and legal techniques in the negotiations proceedings (making contracts) d) differentiate between different types of commercial companies and the respective intra company relations e) implement knowledge of the holding company regulation into their practical activities f) realize common limits of contract liberty that is given by competitive law g) make use of main kinds of securities, such as promissory notes, bills of exchange, bonds etc. h) understanding of regulation framework assured by Security Commission
Syllabus
  • The module addresses the following topics: a) Business entities. Classification of business entities and differences among them (economic, organizational and legal). Appropriateness of individual forms from the different points of view. General regulation of business associations. b) Individual kinds of business companies and associations. Basic characteristic features of personal and stock corporations. Memoranda of companies and associations and articles of companies associations. Internal relations in business companies. c) Legal regulation of holding companies. Economic essence of a holding. Types of holding arrangements and their advantages and disadvantages. Factual and contractual holdings. A contract to control a company and a profit transfer contract. Control and government. d) Law of contract. The art of contracting. Who can make a contract. Types of contractors. Organization of contracting, psychological equipment of a contractor. Pre-contracting negotiations between partners. Indemnity of agreed obligations. Obligatory character of agreed subject-matter, possibilities of rescission of a contract. e) Types of contracts and innominate contracts. How to find out or choose an appropriate type of a contract. Advantages and risks of contracting by means of an innominate contract. Relationship between commercial obligations and regulation by means of individual types of contracts. Making business contracts and public tenders. f) Securities and capital market. Economic importance and essential kinds of securities. Securities and cheques practice. Securities disposition contracts. Regulation of capital market, powers of the Commission for Securities and other regulators.

Teaching methods
Range of Modes of Contacts: Lectures, use of commented presentations, group discussions, group seminar activities, brainstorming, case studies, solving of simulated problems, model negotiations. Assessment methods
Number, Type and Weighting of Elements: 100% written assignment Type and Weighting of Methods within Each Element: This module is assessed by means of quality of a written assignment (approx. 10 sheets). Illustrative assignments and assessment criteria: a) Identify the problems concerning contract agenda in your own company and design the appropriate measures for improvement thereof. b) Discover main defects in a given set of securities and try to correct them. c) Try to design a draft of a dominating contract in a holding. An answer to the questions above (and alike) would be assessed against the following criteria: a) complete analysis (i.e. using of knowledge of more issues and points of view, the art of finding an optimal solution on the basis of balancing different interest and values) b) critical evaluation and discussion of the main factors and their influence and presumable general impact on the respective company c) the ability to structuralize the answer or the solution (i.e. to find out the hierarchy between different arguments and to distribute with explicitly given reasons the value or the weight of particular arguments). d) logical conclusions with practical, achievable recommendations.
