Course objectives
The main aim of this course is to improve the knowledge of International Business law, to learn more about the special problems of International Business, about the European and American approach to selected issues. At the end of this course, students should be able to: read the case-law; analyze the case-law; work with the case-law;present the analysis of cases; write in Plain English; write legal memoranda.
Syllabus
  • The course is dividend into two parts, both of them running parallel. The first part deals with contract drafting, the second part with lawyering skills: PART I: Contract drafting: 1. Introduction, Structure of Contract, Typical contractual clauses 2. Purchase Contract and Frame Purchase contract 3. Distribution contract, Agency contract 4. Services 5. Common law system of contractual liabilities, Indemnities 6. Closing session PART II: Lawyering skills 1. Research 2. Presentation 3. Effective reading of case law 4. Legal memorandum 5. Structure of argument 6. Court’s proceeding simulation
