Cíle předmětu
At the end of the course students should be able to:
• Understand and explain the basic concepts of incorporation and separate legal personality;
• Work with and interpret information relating to Company Constitutions and the development of relevant UK legislation and case law authority;
• Make deductions based on acquired knowledge of UK case law and legislation;
• Make reasoned decisions about appropriate business structures;
• Create and present reasoned arguments relating to legal problem scenarios.

  • • Introduction to different business structures and organisations.
  • • The concept of separate corporate personality.
  • • The effects, consequences and limitations of separate corporate personality.
  • • Introduction to the requirements of incorporation.
  • • Analysis of Company Constitutions - Objects, Capacity and Articles of Association

  • All required material will be provided by the lecturer during the teaching sessions.

The course will be delivered using a combination of lectures, seminars, group discussions and presentations.

Oral presentation based on a legal problem scenario.

This course will explore the most important consequence of incorporation, that of separate legal personality. The course will outline the requirements, effects and limitations of incorporation and separate legal personality in addition to analysing the relevant UK legal authorities and principles. Students will have the opportunity to trace key developments in UK legislation and case law and apply their knowledge by creating and presenting legal arguments in relation to a range of legal problem scenarios.
