Course objectives
Students are informed about the fundamental elements of the business law in Czech Republik. The course contents corporate law and law of securities. At the end of this course, students are able to orientate themselves in czech regulation of business companies, shares, bills of exchange and other kinds of securities und understand its principles.
Syllabus
  • 1. General Problems of legal regulation of companies, fundamental terms 2. Founding and origination of companies 3.Limited liability company - fundamental problems 4. Limited liability company - inside organisation, articles od association and their changes 5. Joint stock company - shares 6. Joint stock company - founding and origination, mergers 7. Joint stock company - inside organisation, legal standing of the members of the board of directors 8. Joint stock company - legal standing of the stockholder 9. Securities in the czech law 10.Bills of exchange I 11. Bills of exchange II 12. Unfair competition

Teaching methods
Lectures are held for a minimum of 5 students. With smaller number of students attending the course, lectures are replaced with tutorials. Reading list will be given by the course co-ordinator at the fist lecture or tutorial.
Assessment methods
The examination has a written and an oral part. Examination - credit requirements: 1. Semester paper 2. Written test comprising Yes/No(True/False) or multiple choice questions 3. Discussion on the semester paper.
