Course objectives
At the end of the course the students should:
- Have a basic understanding of both the business and the ethical issues in company law.
- Be able to explain the rationale and basic principles of company law, and generally how company laws differ from each other around the World.
- Be able to advise a client on how to organize a small business or joint venture -- specifically, to advise a client on how to protect himself if he is a minority owner in a business.
- Be generally familiar with the Czech company and partnership laws, and have views on
- How to use the Czech law in dealing with the problems above,
- How the Czech law compares with other countries’ laws, and
- How, if at all, the Czech law might be amended or improved.
Syllabus
  • The course will have three related parts:
  • 1. an overview of company laws and principles worldwide,
  • 2. the law of private companies including family businesses and joint ventures, and
  • 3. corporate governance including international best practices, and recent scandals and the lessons to be learned from them.
Literature
  • The course materials will consist of: 1. a PowerPoint presentation, and 2. reading materials which will be discussed or referred to in class. All of these will be provided in electronic form before the classes begin.

multiple choice questions and short (no more than 20 words) essay questions.
