In our increasingly globalized world, lawyers will need to be very familiar with International Commercial Transactions (ICT). Practically all business enterprises already engage or will soon engage in ICT. ICT is private international law and is distinguished from International Trade Law (ITL), which is public international law. However, ICT also requires some degree of familiarity with ITL, particularly Economic Unions (such as EU, APEC, ASEAN, NAFTA), Free Trade Agreements (FTA), Customs Laws pertaining to import and export in the sales of goods, and regulations on trans-border outsourcing of services, including Business Process Outsourcing (BPO).
This course covers the modern legal forms of international business, with emphasis on the practical issues that lawyers face in the Sales of Goods, Sales of Services, Foreign Direct Investment and Technology Transfer. Many new developments have led to changes in the legal practice in ICT, such as increasing globalization, the continuing rise of multinational enterprises, and the rise in commercial transactions with regions such as China and the ASEAN (Association of South-East Asian Nations). Dispute resolution mechanisms related to ICT involve issues of court jurisdiction, arbitration, and enforcement of judgments. As an introduction to ICT, the legal framework for ICT will be discussed in the context of sources of law, international legal for a and institutions. Cases will be analysed in the context of this ICT legal framework.
