Cíle předmětu
At the end of the course students should be able to:
understand and explain: The major forms of business entities in the United States, and how the selection of one entity over another could affect business outcomes;
work with information on: The relationship between Common Law and Civil Law and how this affects business and legal outcomes in the United States and in Europe;
create: An analysis of the differences in the roles that Civil Law (most countries in the European Union) and Common Law (the United States and the United Kingdom) play in the development of commercial law;
make reasoned decisions about: Commercial legal rights in transactions involving corporations and business entities in the United States;
make deductions based on acquired knowledge: Doing business with corporation and other entities in the United States;
interpret: Basic commercial and corporate laws in the United States.

  • The readings in this course will include journal articles, reports of case rulings, and other materials. All materials will be provided to students in the course online.

Metody hodnocení
There will be no in-class examinations. There will be take-home exams or papers: the first paper will be worth 10% of the course credit and grade and will be assigned at the end of the first week. The second paper will be worth 90% of the course credit and grade and will be assigned at the end of the second week.

Mark D. Kimball is a corporate and business attorney in the United States, practicing law for 30 years in the states of Washington and New York. Mark Kimball is also admitted to practice before the United States Supreme Court and the United States Tax Court. He has taught corporate and business law to students and presents at conferences and seminars to other attorneys and accountants on corporate, commercial and tax law in the United States and internationally. Mark Kimball has previously served as a Visiting Professor in the Faculty of Law at Eotvos Lorand University in 2010 and 2012. Natalie Job will be participating as a Teaching Assistant during the second week of the course; Ms. Job is a practicing attorney, studied law in the United States and Austria, and is licensed to practice in the states of Washington and California.
