Course objectives
1. Identify and discuss the legal implications of business decisions;
2. Provide students with understanding of basic business law issues;
3. Formulate policies and practice procedures designed to minimize risk of liability and litigation.
Learning outcomes
After completing the course, a student will be able to:
1. Understand the basis of the American legal system, including the sources of laws and roles of the legislature and the court system.
2. Understand types of business organizations, including basics of corporate governance and fiduciary duties.
3. Understand fundamental contract concepts and contract language, including formation and modification of contracts.
4. Understand basics of employment law.
5. Understand basics of business torts.
6. Understand basics of “White Collar” Crime.

  • Unit One: American Legal System
  • Sources of laws and roles of the legislature and the court system; State court system;
  • Federal court system.
  • Unit Two: Business Organizations
  • Partnerships, Corporations, Limited Liability Companies, Sole Proprietorships;
  • Corporate governance;
  • Fiduciary duties.
  • Unit Three: Contracts
  • Types of Contracts;
  • Offer, acceptance, consideration;
  • Valid, voidable, unenforceable and void agreement;
  • Remedies for breach of contract.
  • Unit Four: Employment
  • Hiring/firing;
  • Wrongful termination;
  • Retaliation;
  • Discrimination, Federal/State distinctions;
  • Hostile work environment.
  • Unit Five: Business Torts
  • Types of torts;
  • Negligence;
  • Fraud;
  • Deceptive trade practices;
  • Trademark infringement;

Assessment methods
There will be one final examination. The exam will be a series of “analyze and discuss” questions and case problems. Students will be permitted to use their own class notes and other notes of their own making. During the exam, each student will be required to work individually without consulting other students. The exam will be graded on a pass/fail basis.

The course is taught only once.
Teacher's information
The Business Law course will introduce the students to traditional law topics, such as types of business organizations, corporate governance, contracts and employment. A number of examples and case studies will be highlighted throughout the course to aid the student in better understanding various topics and practical situations. The course is designed to be an intensive two week course on Business Law in the United States of America.
