Cíle předmětu
At the end of the course, students should be able to understand and explain the general legal standards that apply in the United States when: - choosing to form a business organization;
- raising capital and selling securities; and
- hiring employees.
Students should be able to work with information provided about U.S. businesses and evaluate whether the businesses are complying with U.S. requirements. They will be able to make reasoned decisions based on the U.S. standards and the facts provided to them in short case studies.

U.S. Business Law will provide students with an introduction to three areas of law that apply to nearly every business.
1. We will discuss the forms of business organization available in the U.S.
We will consider how different forms of entities provide different benefits to their owners and compare the choices available in the U.S. with choices available in Czech Republic.
2. We will discuss capital raising for businesses, the U.S. capital markets and the extensive regulation of these activities in the U.S.
We will discuss fraud and investor protection in U.S.
3. We will discuss the employment environment in the U.S. such as basic work requirements, benefits laws, union activity and anti-discrimination and anti-harassment standards.
Literature:
A case summary illustrating protections for commercial speech: Bad Frog Brewery;
A summary written in a KPMG brochure discussing forms of US business entities;
An article about an insider trading case; and
A summary of some U.S. employment laws and standards.
Additional handouts will be given in class to outline the topics being discussed.
