Course objectives
The aim of the course is to develop knowledge and skills in the area of commercail law to a greater extent and depth, focusing on the practical context and the ability to apply legal norms in individual cases. Great emphasis is placed on the ability of consistent argumentation in both written and oral form. The course focuses mainly on business contracts and business transactions as such.
Learning outcomes
At the end of the course students should be able to:
understand practical issues of commercial law application;
prepare foundation of commercial companies;
analyze and formulate commercial contracts;
Syllabus
  • Analysis of commercial contracts - how to do it
  • Construction and formulation of contractual arrangements. Functional and non-functional contractual mechanisms
  • Consequences of breach of contract and liability, dealing with contractual risks
  • Comprehensive active and passive contracting skills, contract optimization, appropriate contractual solutions
  • Interpretation and enforcement of commercial contracts
  • Practice of oral argumentation
  • Dealing with complex cases involving the consequences of breach of commercial contracts, including damages
  • Commercial disputes and their resolution
  • Other selected commercial law issues

Assessment methods
Written and oral case studies almost every class. Classes (workshops) are obligatory; active participation is necessary.
