Course objectives
Commercial Law II focuses on corporate law. Within the three-semester basic course of Commercial law, students acquaint themselves with the typical legal forms through which a business is operated in practice. The subject of interest is mainly business companies. The aim is to understand the fundamentals of business corporations, to understand the system of their internal organization, to be able to solve specific problems relevant to the shareholders/partners, members of bodies, creditors and investors.
Learning outcomes
The student will be able to: - understand teh economic and legal nature of business companies - to distinguish various types of business companiesand their advantages and disadvantages - understand the relevant legal limits and possibilities of contractual arrangements - understand internal mechanisms in business companies - identify and address the basic problem situations from the perspective of shareholders, board members, creditors and investors.
Syllabus
  • 1. The economic and legal nature of a business corporation. Characteristics of personal and capital aspects. Legal and financial sphere of the corporation. 2. Individual Types of Business Corporations - overview, comparison. 3. The process of establishing business corporations. Business Register. 4. Management and control processes within the corporation. 5. A complex view of the corporation from a partner's point of view - its rights and obligations, ways of realization in individual types of corporations; protection of minority partners 6. A complex view of the corporate body from the point of view of a member of the body - the legal status of members, responsibility, sanction mechanisms. 7. A complex view of the corporation from a creditor and investor point of view - safeguard mechanisms for both creditors and corporations themselves; share transfers, increase of registered capital, surcharges, financial assistance. 8. Specifics of the joint stock company 9. Influence, control, concern. The nature and legal implications of the influence. The economic and legal nature of the concern. Protective mechanisms. 10. Fundamentals of M & A ("Mergers and Acquisitions"). Share deals and asset deals. Transformation of business corporations. Shareholders' agreements. 11. Cancellation and termination of business corporations. The liquidation process. Legal effects of insolvency on the business corporation's activities. 12. Cooperative. European forms of corporations.

Teaching methods
Learning is made in the form of lecture (once a week) and seminaries (once a week). The lectures have cognitive function, seminaries are reserved for practise of ability to apply the legal regulation on the concrete cases. The legal regulation is discussed, the cases are solved.
Assessment methods
The course finishes with written test, the students obtain credits. The conditions for obtaining credits can be specified by every teacher differently. It is minimally to pass one test, number of questions designates the teacher.
