Course objectives
The course is concerned with legal regulation of business companies. The lectures analyse the theoretic problems, describe the interpreting problems and comment the judicial decisions. Main objectives is to deepen knowledge of students in this sphere and prepare them for solving cases about business companies.
Syllabus
  • corporate law (general explanation - principles, kinds of business companies
  • unlimited liability company
  • limited partnership company
  • limited liability company (change of Memorandum of Association,directors, members stake)
  • public limited company (share, incorporation of a company, legal position of partner, authorised representative)

Assessment methods
Learning is made in the form of lecture (once a week).The lectures have cognitive function, but the cases and problems of application are discussed too.The course finishes with colloquium.
