Course objectives
The main objectives of the course are the following
to introduce students to basic rules and specifics of the American common law system as well as to particular field of corporate law
to make students familiar with characteristics of the US legal system and discusses sources of law, structure of law, the courts structure and judicial review
to introduce students to the general ideas and basic issues of the legal system by showing American case law and rules from the Delaware General Corporation Law

  • 2. Structure of law (2X45 minutes – day 1) 2.1. Common law vs civil law system 2.2. Doctrine of stare decisis 2.3. Judicial process in American common law system 2.4. Adversary Jury trial
  • 3. The US Court Structure and judicial review (2X45 minutes – day 2) 3.1. State courts 3.2. Federal Courts 3.3. The US Supreme Court 3.4. Characteristics and limitations of the American judicial review
