Course objectives
Classes are focused on the practical aspects of Merges, Acquisitions and Financing. The aim is to hand the practical skills over to students. Classes are led by professionals from law firm Allen Overy Shearman Sterling LLP.
Learning outcomes

The aim of the course is to provide students with a comprehensive and practical insight into the processes of mergers, acquisitions, and transaction financing, and to enable them to acquire the key skills required in the transaction practice of international law firms. In particular, the course aims to ensure that students:

  1. understand the basic structures of M&A transactions (share deals, asset deals, joint ventures, leveraged buyouts, etc.) and are able to distinguish between them and apply them correctly in practice;
  2. master the principles and procedures of due diligence and are able to identify the risks relevant to individual transaction models;
  3. learn the basic tools and processes of transaction financing, in particular the structuring of loan documentation and securing of obligations;
  4. understand the process of negotiating transaction documents, their key provisions, and the practical reasons behind individual contractual mechanisms;
  5. were able to work with real-life examples and model cases, analyze them, and apply them in the context of a specific transaction;
  6. gained practical experience with the role of a lawyer in an M&A transaction, including communication with the client, the counterparty, and other advisors;
  7. understand international standards of transaction practice, especially those used by law firms such as Allen & Overy Shearman Sterling LLP;
  8. be able to identify problems and propose practical solutions in simulated transaction scenarios;
  9. develop the skills needed to work in a transaction team, especially analytical thinking, working with documents, preparing risk summaries, and arguing during negotiations.
