Course objectives
The course examines the recent evolutions and trends of EU company law. After a general introduction on the institutional framework concerning the actors involved in EU company law, the course investigates several topics and initiatives that are currently under discussion. A basic knowledge of national and European company law, even if not strictly required, is highly recommended.
Learning outcomes
At the end of the course, students will be:
- familiar with the different sources of EU company law;
- familiar with the main EU company law topics currently under discussion;
- understand the evolution of EU company law;
- be able to critically evaluate EU initiatives concerning company law.

  • 1. Introduction to the Course; Introduction to EU Company Law; Institutional Framework;
  • 2. Recent Evolution of EU Company Law; EU Company Law Basics;
  • 3. Digitalisation of EU Company Law;
  • 4. The Cross-border Mobility Directive;
  • 5. Corporate Sustainability Due Diligence.
Literature
  • This course is organised around the materials that will be made available to students at the beginning of the course. A recent reference book on the topic is: A.F.M. Dorresteijn et al., European Corporate Law, 4th Edition, Wolters Kluver, 2022.
Teaching methods
Interactive classroom lectures; in-class debates of controversial topics.
Assessment methods
Interactive multiple choice examination during the final session, using a game-based learning platform.
